Agreement to Terms

By accessing or using the Onyx AI Systems website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access our website or use our services. These terms apply to all visitors, users, and clients of Onyx AI Systems.

Services Description

Onyx AI Systems provides AI-powered digital marketing services specifically designed for restoration companies. Our services include, but are not limited to:

  • Google Ads and Local Service Ads management
  • Facebook and Instagram advertising campaigns
  • AI speed-to-lead response systems
  • CRM setup, pipeline automation, and lead management
  • High-converting landing page design and development
  • Analytics, reporting, and performance optimization

The specific scope of services provided to each client is defined in an individual service agreement or statement of work.

Service Guarantee

Onyx AI Systems guarantees 20 booked inspections within the first 60 days of active service for qualifying clients. If we do not meet this guarantee:

  • We will continue working at no additional management fee until the 20 booked inspections target is reached.
  • Ad spend costs remain the responsibility of the client during the extended period.
  • The guarantee applies to clients who maintain the agreed-upon minimum ad spend budget and respond to leads within the timeframes specified in their service agreement.

Full guarantee terms and qualifying criteria are detailed in each client's individual service agreement.

Payment Terms

  • Management fees are billed monthly in advance as specified in your service agreement.
  • Ad spend budgets are paid directly to the advertising platforms (Google, Meta) or through our managed accounts as agreed.
  • Payment is due upon receipt of invoice unless otherwise specified in your service agreement.
  • Late payments may result in suspension of services after a 7-day grace period and written notice.
  • All fees are non-refundable for services already rendered.

Intellectual Property

  • The Onyx AI Systems website, branding, software, proprietary systems, and methodologies remain the exclusive property of Onyx AI Systems.
  • Ad creative, landing pages, and campaign assets created for clients are owned by the client upon full payment for the services that produced them.
  • Clients retain ownership of their business data, lead information, and customer records at all times.
  • Onyx AI Systems reserves the right to use anonymized, aggregated performance data for case studies, benchmarking, and marketing purposes.

Limitation of Liability

To the maximum extent permitted by law:

  • Onyx AI Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
  • Our total liability for any claim related to our services shall not exceed the total amount paid by the client to Onyx AI Systems in the three (3) months preceding the claim.
  • We do not guarantee specific revenue outcomes, as results depend on factors beyond our control including market conditions, client responsiveness, and ad platform performance.
  • We are not responsible for actions taken by third-party platforms (Google, Meta, GoHighLevel) including policy changes, account suspensions, or service disruptions.

Termination

  • Our services operate on a month-to-month basis unless otherwise specified in your service agreement.
  • Either party may terminate the service relationship with 30 days' written notice.
  • Upon termination, we will provide access to all client-owned data, assets, and account credentials within 14 business days.
  • Outstanding invoices remain due and payable regardless of termination.
  • Onyx AI Systems reserves the right to terminate services immediately in cases of non-payment, fraud, or violation of these terms.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of our services shall be resolved in the state or federal courts located in the State of California.
